SES is entitled to investigate and take appropriate legal action against anyone who, in SES's sole discretion, breaches the terms of these Terms of Use. B. Prohibited User Content

SES reserves the right but is not obligated to assume the exclusive defense and control of any such matter for which the User has agreed to indemnify SES, Standard & Poor's and The STEP Technologies Companies.
5. LIMITATION ON WARRANTIES AND LIABILITY
At SES, each of our analytic services is performed as an entirely separate activity in order to preserve the independence and objectivity of each analytic process. All non-public information received during any analytic process is held in confidence. SES and other Standard & Poor's analysts do not disclose non-public information.
The Website (including the Other Content) includes opinions that must be construed solely as statements of opinion and should not be construed as statements of fact. SES, Standard & Poor's, and The STEP Technologies Companies rely on information provided by third parties and do not perform audit services. 7. ADDITIONAL LEGAL TERMS
This Agreement constitutes the entire agreement between the parties relating to the Website and supersedes any and all other agreements, oral or in writing, with respect to the Website. The failure of SES to insist upon strict compliance with any term of this Agreement shall not be construed as a waiver with regard to any subsequent failure to comply with such term or provision. This Agreement is personal to You, and You may not assign Your rights or obligations to anyone. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.
This Agreement, Your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of the India State, as if the Agreement was a contract wholly entered into and wholly performed within India State. You agree to exclusive personal jurisdiction and venue in the state and federal courts of the Vadodara located in the Vadodara, Gujarat.
